This End User License Agreement and Terms of Service (these “Terms”) govern your use of the Site, the AgentechRX LLC platform, and all related products, services, features, technologies, tools, and content provided by or through AgentechRX LLC (collectively, the “Services”).

The terms “FrontCare,” “we,” “us,” and “our” refer to AgentechRX LLC

BY USING THE SERVICES, YOU AGREE TO THESE TERMS AND TO AgentechRX LLC’S PRIVACY POLICY AS UPDATED FROM TIME TO TIME, AND YOU AGREE TO RECEIVE REQUIRED NOTICES AND TO TRANSACT WITH US ELECTRONICALLY. IF YOU DO NOT AGREE, PLEASE DO NOT USE THE SERVICES.

1. Hosting

AgentechRX LLC operates as an intermediary platform that connects third-party physician networks and pharmacies (“Medical Professionals”) with individuals or entities that promote, endorse, or advertise products and services (collectively, “influencers,” “creators,” “businesses” or “you”). Our primary role is to facilitate a relationship between Medical Professionals and influencers, creators or businesses, allowing for a seamless exchange of promotional opportunities, sales, and other collaborative interactions.

2. Registration

To create a AgentechRX LLC creator account, you must apply through the Services. Approving or terminating any account is at AgentechRX LLCs sole discretion. You must provide accurate, current, and complete information during registration and maintain its accuracy. You are responsible for maintaining the confidentiality of your account and password.

If you create or administer an account on behalf of a company or entity, you represent that you have full authority to bind that entity to these Terms.

3. Agreement

By using the Services as an influencer, creator or business, you agree to these Terms. If you do not agree, you must not use our Services.

4. Identification

By using our Services and submitting an application, you represent that all business or social accounts listed belong to you. We may request documentation (such as government ID or proof of address) to verify your identity.

5. Age of Users

Children under the age of 18 may not use the Services. If we learn that a child under 18 has provided personal information, we will delete it promptly.

6. Privacy Policy

Your use of the Services signifies consent to our Privacy Policy, which governs how we collect and use personal data.

Program Description

FrontCare Alerts provides SMS and MMS messages to users who opt in. Message types may include:

Appointment reminders and order updates

Account notifications and service alerts

Customer support messages

Health and wellness tips

Promotional or marketing content (if you have opted in for marketing communications)

By opting into AgentechRX LLC Alerts, you agree to receive recurring messages from AgentechRX LLC at the phone number you provided. Message frequency varies. Consent is not a condition of purchase.

Opt-Out Instructions

You can cancel the SMS service at any time. Simply text “STOP” to our shortcode or sender number.
After sending “STOP,” you will receive a confirmation message verifying your opt-out status. Once confirmed, you will no longer receive SMS messages from us.

Rejoining Instructions

If you wish to rejoin the program after opting out, sign up again through one of our forms or text “START” (or any opt-in keyword provided by us) to re-enroll, and we will resume sending messages to you.

Carrier Liability Disclaimer

Mobile carriers are not liable for delayed or undelivered messages.

Message and Data Rates Disclaimer

Message and data rates may apply for messages sent to you from us and from you to us.
Message frequency varies. For questions about your text or data plan, contact your wireless provider.

Compliance Statement

AgentechRX LLC complies with all applicable CTIA, TCPA, and A2P 10DLC guidelines, as well as all federal and state regulations governing SMS communications.
By participating, you confirm that you are the owner or authorized user of the mobile number provided and that you are at least 18 years old.

Legal Compliance Note

Your participation in AgentechRX LLC Alerts constitutes your consent to receive automated text messages under the Telephone Consumer Protection Act (TCPA) and related laws.
All terms are subject to change, and updates will be posted here.

8. Changes to the Services

We may discontinue or change any content, feature, or function at any time with or without notice.

9. Proper Use of This Site

You agree not to misuse or exploit the Site or Services. Unauthorized scraping, framing, data extraction, or resale of any part of the platform is strictly prohibited.

10. Inappropriate Content

We reserve the right to remove any content deemed illegal, misleading, or harmful. This includes offensive, discriminatory, infringing, or fraudulent material.

11. User Conduct

You agree to maintain a respectful and professional environment. Abusive or harassing messages may result in suspension.

12. Compliance with FTC Guidance

You must comply with all FTC guidelines for influencer marketing, including clear disclosure of material connections (e.g., using #ad or #sponsored). Failure to comply may result in termination.

13. Termination

FrontCare may suspend or terminate your account at any time, without notice, for violations of these Terms or any harmful conduct.

14. Restrictions on Promotional Methods

Paid search, keyword bidding, external discount code sharing, and unapproved software integrations are prohibited. Violations may result in immediate account termination and forfeiture of earnings.

15. Payment Terms

Payments are made only after FrontCare receives customer payment. Rates may vary. Fraudulent or returned transactions may be reversed. No fiduciary relationship is created.

16. Proprietary Rights

All content, software, and materials on the Site are the property of AgentechRX LLC or its licensors. You may not reproduce or distribute them without written consent.

18. Changes to Terms

We may modify these Terms at any time. Continued use after updates constitutes acceptance.

By submitting content, you grant FrontCare a worldwide, royalty-free license to use, display, and distribute that content.

21. No Duty to Monitor

We are not obligated to monitor content, but we may remove or refuse any material at our discretion.

22. Third Party Sites

We are not responsible for content or activity on third-party websites linked from our Services.

23. Connecting Social Accounts

By linking any third-party account, you agree to their respective terms and policies.

24. Confidentiality

Non-public business information shared with you (e.g., rates, products, or data) is confidential and must not be disclosed.

25. Beneficiaries

Certain Medical Professionals may be third-party beneficiaries of specific provisions within these Terms.

26. Disclaimer of Warranties

The Services are provided “as is” and “as available” with no warranties, express or implied.

27. Limitation of Liability

FrontCare shall not be liable for indirect, consequential, or incidental damages. Liability is limited to the total amount paid to FrontCare in the last 12 months.

28. Indemnification

You agree to indemnify and hold harmless FrontCare, its affiliates, and employees from claims arising from your use of the Services or your breach of these Terms.

29. International Use

The Services are intended for use in the United States. Users outside the U.S. are responsible for compliance with local laws.

30. Governing Law & Dispute Resolution

These Terms are governed by the laws of New York, USA. Disputes shall be resolved through binding arbitration in New York City, under AAA Commercial Rules.

31. Injunctive Relief

FrontCare may seek equitable or injunctive relief for any violation of these Terms.

32. Sanctions & Export Controls

You represent that you are not subject to any U.S. sanctions or restricted party lists.

33. Severability & Integration

If any part of these Terms is invalid, the remaining provisions will remain in full force.

34. Survival

Sections regarding intellectual property, confidentiality, payments, and indemnification will survive termination.

35. Force Majeure

FrontCare shall not be liable for delays or failures beyond its control (e.g., natural disasters, acts of war, or internet outages).
